Ms. Ross’s practice is focused on advising and assisting clients in meeting their information technology legal needs, identifying and protecting their intellectual property, and on Internet, e-commerce, and general commercial transactions in a variety of industries, including health care and telecommunications.

With respect to all industries, Ms. Ross’s experience includes negotiating and drafting agreements and advising clients with respect to the acquisition, development, licensing, marketing, distribution and support of information technology; strategic sourcing, outsourcing; information technology policies; software audit policies; data, privacy and electronic security policies; consulting and employment arrangements; strategic alliance agreements; due diligence; technology transfers; website related agreements and the formation, financing, and governance of business entities. She also counsels clients on intellectual property and business implications of technology deals.

In the health care field specifically, Ms. Ross is experienced in drafting and negotiating software license and services agreements for EHRs, revenue cycle, claims management, and all other functionalities from all major health information technology vendors, and is also experienced in related regulatory matters such as HIPAA, BAAs, meaningful use and HIEs. Ms. Ross’ health care practice includes handling the information technology legal issues during mergers, acquisitions, divestitures and other corporate restructurings with a particular emphasis in helping clients negotiate transition services agreements.

Ms. Ross is also experienced in drafting and negotiating agreements and policies that comply with various privacy and security laws, including the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach Bliley Act, the FTC’s “Red Flag Rules” and other state and federal laws, rules and regulations.

Ms. Ross is the co-chair of the American Health Lawyers Association Tech Licensing and IP Affinity Group, and is a member of AHLA’s Health Information Technology Practice Group. She is also a frequent speaker on topics of interest to the information technology community and is an adjunct faculty member of Loyola University of Chicago School of Law. She is a former member of the board of the Greater Chicagoland Health Information Management System Society and of the board of the University of Chicago Women’s Business Group. She is a current member of the American Bar Association, the American Bar Association Section on Science and Technology, American Health Lawyers Association and the Chicago Bar Association. Ms. Ross began her legal career in the Chicago office of Skadden, Arps, Slate, Meagher & Flom, and was a partner in the Health Law Department of the Chicago office of McDermott, Will & Emery, prior to starting her own practice.

Prior to practicing law, Ms. Ross received an MBA from the University of Chicago and worked as a financial and strategic analyst. When not assisting clients, she is an adjunct faculty member of Loyola University of Chicago Law School.
